1. Access to and use of the Website

(c) (i) not a retail client as defined in point (11) of Article 4(1) of Directive 2014/65/EU (as amended, "MiFID II"); (ii) not a customer within the meaning of Directive 2016/97/EU, where that customer would not qualify as a professional client as defined in point (10) of Article 4(1) of MiFID II; or (iii) a qualified investor as defined in Regulation (EU) 2017/1129.

6. Governing law and jurisdiction
6.1 The Terms and Conditions and any non-contractual obligations arising out of or in connection with them will be governed by, and construed in accordance with, the laws of England and Wales.
6.2 The English courts will have jurisdiction to settle any disputes which may arise in connection with the Terms and Conditions.
